1. Acceptance of Terms
By accessing or using the services provided by CloudIPden LLC (hereafter referred to as “we,” “us,” or “our”), you agree to abide by these Terms of Service. These Terms of Service may be updated from time to time, and your continued use of our services after any changes constitute your acceptance of those changes.
2. Service Description
ClouIPden LLC operates as an IPv4 address broker, facilitating the sale, lease, or transfer of IPv4 address blocks between parties. Our primary service is to facilitate the buying, renting and selling of IPv4/IPv6 addresses between buyers and sellers. We also deal with the sale and lease of ASN from different RIR and also provide Virtual Private Servers (VPS), Dedicated Servers & Shared hosting to our clients. When it comes to selling IP blocks, we will assist you throughout the entire process, offering guidance and support until the process is successfully completed. In the case of renting IP blocks, if your order is delivered successfully and you encounter any support-related issues afterward, we will assist you in resolving them. However, please note that we do not provide support for software, control panels, or scripts on your end. Additionally, we can offer you a test service before you place an order. During the test phase, we do not tolerate any spam, abuse, or illegal activities. It’s essential to return the IPs in a clean and proper state once the test is concluded. Our services and products should be use for clean and legal purpose.
3. Eligibility
You must be eligible under applicable law to use our services. This may include businesses, organizations, or individuals, subject to verification by us. You are qualified, responsible, and capable of participating in purchasing, selling and leasing of our services/products while complying with relevant laws and regulations and you are required to have the financial means to complete the selling, purchasing and leasing process of our services/products.
4. Customer Responsibilities
Customer agree to:
Use services legally and ethically
Maintain backups (we are not responsible for data loss).
Secure your account (strong passwords).
Avoid abusive activities (spam, hacking, DDoS, illegal content)
5. Prohibited Activities
The Customer agrees not to engage in any activities that may excessively burden server resources, including high CPU usage or disproportionate consumption of CloudIPden’s infrastructure.
Additionally, the Customer must not host, link to, or promote content involving the following:
The Customer agrees not to initiate or be involved with any of the following on any of CloudIPden’s services/products like shared hosting, reseller program, VPS or dedicated servers etc.
The Customer must not host, distribute, or link to any content or engage in any activity involving:
. Illegal or Harmful Content
. Violations of intellectual property rights (copyright, trademark, patent, trade secrets, etc.)
. Illegal software, pirated material (Warez), or unlicensed applications
. Exploitation of minors (under 18 years of age)
. Child pornography, kidnapping material, or related content
. Hate speech, terrorist propaganda, or racist material
. Threats, harassment, or abusive content
. Fraudulent activity (phishing, pyramid schemes, chain letters, forgery, impersonation)
. Virus, malware, spyware, or harmful code distribution
. Bomb/weapon instructions or other dangerous material
. Spam & Unauthorized Advertising
. Unsolicited email (SPAM) or bulk mailing
. Mail fraud, mail bombing, or open mail proxies
. Unauthorized advertising via IM, forums, newsgroups, etc.
. Network Abuse & Security Violations
. Denial of Service (DoS/DDoS) attacks
. Port scanning without authorization
. IRC servers, bots, or abuse-related scripts
. Open or unauthenticated proxy servers
. Illegal file-sharing, gaming, or bulk email services
6. Policy Enforcement & Violation Procedures
CloudIPden reserves the right to take immediate action against any policy violations. Our enforcement process is as follows:
. Initial Notification
Upon detecting a potential violation, CloudIPden will attempt to contact the client via email or other communication channels. These notifications are provided as a courtesy, but require a response.
. Client Response Requirements
Clients must acknowledge receipt of the notice and provide details of corrective actions taken or planned within 24 hours of notification. Failure to respond may result in service suspension. Repeated failures may lead to termination of services.
. Service Suspension & Reactivation
If services are suspended due to unresolved abuse issues, then a $20 reactivation fee may apply to cover administrative costs. The client must fully remedy the violation before services are restored.
. Contact Information Responsibility
Clients must maintain a valid email address on file with CloudIPden Support. This email will be used for all abuse notifications and policy warnings.
7. Client Obligations
Clients agree to provide accurate and up-to-date information during the engagement process, including information regarding the intended use of our services/products. Clients agree to comply with all applicable laws and regulations related to services/products acquisition, transfer, and usage.
8. Registration and Account
To access certain features of our services, you may be required to create an account on our website. You are responsible for providing accurate and up-to-date information during the registration process and for keeping your account credentials secure.
9. Pricing and Payment
Pricing for services/products may vary and is subject to change. You agree to pay the specified fees and charges associated with the services/product. Payment terms and methods will be provided during the transaction process.
10. Intellectual Property
CloudIPden LLC retains all intellectual property rights related to its services/products, including but not limited to trademarks, logos, website, website’s content and software’s.
11. Compliance with Laws
You agree to comply with all applicable laws and regulations related to services/products transactions, including but not limited to regional address registry policies and intellectual property rights.
12. Privacy and Data Protection
We collect, store, and process personal information in accordance with our Privacy Policy, which can be found on our website. We respect client’s privacy and handle personal information in accordance with its Privacy Policy.
13. Limitation of Liability
To the extent permitted by law, CloudIPden LLC shall not be liable for any direct, indirect, incidental, special, or consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.
14. Late fee and termination
All ordered services/products will be invoiced 10 days before due date. Unpaid invoices will be resulted in suspension of services after 1 day of due date. Unpaid invoices will be resulted in termination of services after 2 days without payment. CloudIPden LLC reserves the right to suspend or terminate services of clients for violation of these Terms of Service or violation of applicable laws and regulations.
15. Governing Law
These terms are governed by and construed in accordance with the laws of Wyoming, USA. Any legal action arising from these terms shall be filed in the state courts located in Wyoming, USA.
16. Payment Policies and order deliveries
When you request our service/product, we’ll gather your information, and our billing department will send you an invoice. Once you’ve paid the invoice for your new order, we’ll ensure a timely delivery, although factors like time zones and supplier speed may influence delivery times. We’ll be on top to assist you and always start the billing period when your order is successfully delivered. In case we’re unable to fulfill your order for any reason, we’ll credit the amount to your account, which you can use for future orders or renewals. We offer four billing cycle options: monthly, quarterly, semi-annually, and annually. You have the flexibility to select the cycle that suits your needs, and if you wish to renew your order, you can do so before the due date. If you decide to cancel the order, please notify us at least 3-4 days in advance of the due date or on due date. We don’t accept the late cancellation so if there would be any cancellation request after due date then it will be processed next month and you have to pay for the service for the current month. And on next month due date, service/procut would be cancelled.
17. Refund Policy
. Refund policy for IPv4 services
CloudIPden follows a standard procedure where, if the sale of the IP block does not proceed for any reason, the buyer or broker will receive a refund for their payment within fifteen (15) days from the date of payment. When it comes to renting an IP block, once we have successfully delivered your order promptly, we are unable to provide a refund if you request it after the order has been delivered. However, if we are unable to deliver the order to you within 3-5 days, excluding weekends, for any reason, we will refund the payment you made.
. Refund policy for shared hosting, VPS & Dedicated servers
If you order the hosting, VPS & dedicated servers’ products and we are unable to deliver the hosting, VPS and dedicated servers order in 3-5 days excluding weekends then we will issue the refund to you. All refunds will be processed within 5 days of the request. Refunds are issued to the original payment method within 5 business days. If the orders of shared hosting, VPS and Dedicated servers are successfully delivered to customer then after that we can’t provide the refund to client as these are Non-refundable Products. We do not give refunds to orders where a discount code/voucher has been applied. All suspended/Terminated services/products due to TOS violations are non-refundable.
. How to Request a Refund
Submit a ticket via portal to our billing and share the order/Invoice number and let us know the reason for Refund.
– Billing Dispute Resolution Policy
Customers who wish to dispute a billing charge must submit a ticket through the client panel. The Customer agrees not to initiate credit card chargebacks for services provided. If a chargeback is filed, a $20 dispute fee will be applied to the account, and the outstanding balance may be referred to a collection’s agency for resolution
